Terms of Use
These Terms of Service ("Terms") and all Policies listed at easylim.com/terms-of-use govern and apply to your use of free and paid services, software, and websites ("Service(s)") provided under the Easylim brand ("Easylim", "we", "our", etc.), as well as any data, text, files, information, usernames, images, graphics, photographs, profiles, audio and video clips, sounds, musical works, copyrights, apps, links, created tasks, and related information, text, files, and other materials (collectively — "Content") uploaded, downloaded, or appearing on our websites or applications. If you use our Service on behalf of an organization or legal entity ("Organization"), you agree to these Terms on behalf of that Organization and represent that you have the authority to bind the Organization to these Terms. In such cases, "you" and "your" refer to the Organization. Our Terms and Privacy Policy affect your legal rights and obligations. If you do not agree to all these terms, please do not use our Service. 1. Your Account When using the Service, you are responsible for: 1.1. Accurate information: Providing accurate information when creating your Easylim account; 1.2. Account security: Securing passwords and all actions occurring in your account; 1.3. Security notifications: Immediately notifying Easylim if you become aware of a security breach or unauthorized use of your account; 1.4. Proper permissions: You may not use another user's account without permission; 1.5. Usage restrictions: You may not disassemble, decompile, or reverse engineer the Service or attempt to assist others in doing so, unless such restrictions are prohibited by law; 1.6. Human registration: Your account must be registered by a human. Registration via bots or automated methods is not allowed; 1.7. Age restrictions: By registering for an Easylim account, you confirm that you are at least 16 years old; 1.8. Unauthorized use: You may not use the Service for illegal or unauthorized purposes. You agree to comply with all laws, rules, and regulations applicable to your use of the Service and your Content, including but not limited to copyright laws; 1.9. Payments: If you have a paid account, you must pay all required fees when due, including additional fees for add-ons, user roles, guest types, limited participants, or exceeding limits. Over-limit fees may be charged afterward. If payment is made via credit card or other electronic method, you authorize us to charge these fees using your selected payment method; 1.10. Taxes: You are responsible for all taxes (except taxes on our net income), and we will collect taxes if required by law. If you have tax exemptions, you must provide proof at the time of purchase; 1.11. Purchase orders: If you need to use a purchase order, you must provide its number at the time of purchase and agree that any terms of the order will not apply and are invalid; 1.12. Auto-renewal: By default, customer accounts are set to auto-renew, and we may automatically charge for such renewal on or after your account renewal date unless you cancel the service; 1.13. Fee review: We may change Service fees from time to time and will notify you by email of any fee changes at least 30 days before your Service renewal date; 1.14. Satisfaction guarantee: Easylim provides first-time service buyers (or purchasers of new products) with a satisfaction guarantee. If you are not satisfied with your first Easylim purchase, simply contact us through the website form. 2. Use of the Service 2.1. You must not modify, adapt, or alter the Service to falsely imply association with the Service or Easylim. 2.2. You must not access our private API in any manner except as explicitly allowed by us. 2.3. You must not interfere with or disrupt the operation of the Service or servers or networks connected to the Service. 2.4. You agree not to copy, reproduce, publish, upload, transmit, modify, display, reverse engineer, sell, or otherwise exploit the Content, Services, software, or any associated software except as expressly permitted by these Terms. 2.5. Violation of these Terms may result in termination of your account. We may involve law enforcement in investigating violations of these Terms. 3. General Terms 3.1. We may suspend or terminate your account or cease providing you all or part of our services at any time without liability to you. 3.2. Upon termination, all access rights, licenses, and other rights granted to you under these Terms immediately cease. 3.3. We reserve the right, at our discretion, to modify these Terms and/or the services provided from time to time. 4. Rights 4.1. Definitions: For the purposes of these Terms: (i) "Content" means any data, text, files, information, usernames, images, graphics, photographs, profiles, audio and video clips, sounds, musical works, copyrights, apps, links, created tasks, and related information; (ii) "User Content" means any Content that account holders (including you) provide for access through the Services. 5. Software As part of the Service, we may provide downloadable software ("Software") for your use in connection with the Service. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Software to access the Service. 6. Feedback If you choose to submit content, ideas, suggestions, or other materials, you grant Easylim free, irrevocable, and transferable rights to use these materials in any way. 7. Publicity You agree that by using the Services, you consent to the use of your company name, logos, and other marks to identify you as a client on our website. 8. Copyright Infringement and Other Intellectual Property Violations We have a policy to respond to copyright infringement notices under the Digital Millennium Copyright Act ("DMCA"). If you believe your copyright has been infringed, please provide us with a notice containing the following information: a. An electronic or physical signature of the person authorized to act on behalf of the copyright owner; b. A description of the work you claim is infringed; c. A description of the location of the material you claim infringes on the copyright on our site; d. Your address, phone number, and email; e. A statement that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; f. A statement under penalty of perjury that you are the copyright owner or authorized to act on their behalf. We reserve the right to remove infringing content without notice at our discretion. In appropriate cases, we may also terminate a user account found to be a repeat infringer. 9. Disclaimer of Warranties The Service, including our content, is provided "as is," "as available," and "with all faults." To the maximum extent permitted by law, neither we nor our employees, managers, officers, contractors, suppliers, licensors, or agents (collectively — "Easylim") make any warranties regarding: (a) the Service; (b) our content; (c) user content; or (d) the security of information transmission to us or through the Service. We provide no warranties, including but not limited to, warranties of continuity, enforceability, availability, fitness, or absence of viruses. 10. Access Restrictions Any attempt by you to interfere with the normal operation of the Service, including manipulation or technical interference with the operation of Easylim sites and services, violates our policy and may be a criminal or civil law violation. 11. Limitation of Liability We are not liable for any losses or damages of any kind (including but not limited to direct, indirect, economic, punitive, special, incidental, or consequential losses or damages) arising directly or indirectly from (a) the Service; (b) our content; (c) user content; or (d) your use of the Service, inability to use the Service, or Service performance. 12. Indemnification You (and any third party for whom you manage an account or activity within the Service) agree to defend (upon our request), indemnify, and hold harmless Easylim from any claims, liabilities, losses, damages, and expenses, including reasonable attorney fees, arising out of or related to: a. Your content or access to the Service; b. Your violation or alleged violation of these Terms; c. Your violation of third-party rights, including intellectual property, privacy, publicity rights, etc. 13. Time Limitation for Claims You agree that any claim arising from these Terms or your relationship with Easylim must be filed within one year of the claim’s occurrence; otherwise, your claim is permanently barred. 14. Governing Law and Dispute Resolution These Terms are governed and construed in accordance with the laws of Ukraine, without regard to conflict of laws principles. For disputes related to these Terms, you agree to resolve disputes exclusively in the courts of Ukraine. 15. Severability and Waiver If any provision of these Terms is deemed illegal, invalid, or unenforceable, the remaining provisions remain in effect. Waiver of any rights does not constitute waiver of other rights. 16. Entire Agreement These Terms constitute the full and exclusive statement of understanding between the parties and supersede all prior agreements, communications, and other understandings regarding these matters. 17. Territorial Restrictions The Services and information provided through them are not intended for distribution or use by any person or organization in any country or jurisdiction where such distribution or use would violate law or regulation.
